License Agreement (EULA)

This English translation is provided for reference only. The Japanese version is the official text and prevails in case of any discrepancy.

This Agreement sets forth the terms of use for the software "SplitLane" (including its helper program, documentation, and updates; the "Software") provided by Kurokoto Lab ("we" / "us"). By installing or using the Software, you are deemed to have agreed to this Agreement. If you do not agree, do not use the Software and uninstall it. This Agreement also applies to use of the Software in its unlicensed trial state.

Article 1 (License Grant)

  1. Subject to your compliance with this Agreement, we grant you a non-exclusive right to use the Software.
  2. Each license permits use of the Software on up to the number of Macs under your control that we separately specify. The current allowance is shown on the purchase page and in the product documentation.
  3. This license is personal to the purchaser (or, for business purchases, to the authorized officers and employees). You may not sublicense, transfer, or lend it to any third party, nor share or resell license keys.

Article 2 (Nature of the Software; Precautions)

  1. The Software is a tool that actually modifies your Mac's network routing configuration (the routing table). Depending on your settings, network connectivity may become temporarily unstable, or certain destinations may become unreachable.
  2. Configure and apply rules carefully, after reviewing their contents.
  3. In case your network becomes unstable, the Software provides recovery means: the steps in the in-app Help, the emergency recovery buttons on the Diagnostics screen, and an uninstall function that fully restores your settings. Restarting your Mac also lets macOS rebuild its routing configuration.

Article 3 (Updates)

  1. We may provide additional or corrective programs (updates) for the Software to fix defects or add features, but we are under no obligation to do so.
  2. Updates within the 1.x version line are provided free of charge. Future major versions (2.0 and later) may be offered as paid upgrades.

Article 4 (License Activation)

  1. Full functionality of the Software requires online activation with a license key. Activation is performed through our payment and licensing platform (Polar), and only the license key and a machine identifier are transmitted.
  2. After activation, the Software continues to function for a certain period (approximately 14 days) even without network connectivity. After this grace period, applying new rules is restricted until re-validation (routing settings already applied are not affected).

Article 5 (Intellectual Property)

All copyrights and other intellectual property rights in the Software belong to us or to third parties holding legitimate rights, and are protected by the Copyright Act of Japan, international treaties, and other applicable laws. This Agreement grants a license to use the Software and does not transfer any intellectual property rights to you.

Article 6 (Prohibited Acts)

You may not:

  1. copy (except reasonable copies for backup purposes), modify, or adapt the Software;
  2. reverse engineer, decompile, or disassemble the Software, except as expressly permitted by applicable law;
  3. redistribute, resell, lend, or publicly transmit the Software or license keys;
  4. circumvent license activation or interfere with the activation mechanism;
  5. provide the Software as a service to third parties (except with our prior written consent);
  6. otherwise infringe our rights or those of third parties, or interfere with the provision of the Software.

Article 7 (Termination)

  1. You may terminate this Agreement at any time by uninstalling the Software.
  2. If you breach this Agreement, we may terminate it immediately. In that case, you must cease using the Software and uninstall it.
  3. Articles 5, 8, and 10 survive termination of this Agreement.

Article 8 (Disclaimer of Warranty; Limitation of Liability)

  1. The Software is provided "as is." We make no warranty of any kind as to its completeness, accuracy, fitness for a particular purpose, or uninterrupted operation.
  2. The Software's behavior depends on your VPN client and network environment. We do not warrant operation in all environments (known limitations are described on the product page and in the in-app Help).
  3. Except in cases of our willful misconduct or gross negligence, we shall not be liable for any damages arising from the use of, or inability to use, the Software (including interruption of network connectivity, business interruption, loss of data, lost profits, and other indirect or special damages).
  4. Even where we are liable for damages, unless caused by our willful misconduct or gross negligence, our liability shall be limited to the amount you actually paid for the Software and to direct and ordinary damages only.
  5. Nothing in this Article precludes the application of the Consumer Contract Act of Japan or other mandatory laws; this Article shall not apply to the extent it is held invalid under such laws.

Article 9 (Amendments)

  1. We may amend this Agreement as necessary. Amended terms will be announced by posting on our website (kurokoto.com) or by other reasonable means.
  2. For material changes disadvantageous to you, we will give reasonable advance notice via in-app notification or website posting before they take effect.
  3. Your continued use of the Software after an amendment takes effect constitutes acceptance of the amended Agreement.

Article 10 (Miscellaneous)

  1. This Agreement is governed by and construed in accordance with the laws of Japan.
  2. Any dispute arising in connection with this Agreement shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
  3. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  4. The Japanese version of this Agreement is the official text. Where an English translation is provided for reference and any discrepancy exists, the Japanese version prevails.
